Terms of Service / Use for FastFlowPe

These Terms apply to FastFlowPe, a brand operated by GoFastFlowPe Solutions Pvt Ltd.

Definitions

1. Introduction

Welcome to FastFlowPe, your fintech frontier. FastFlowPe is a brand operated by GoFastFlowPe Solutions Pvt Ltd. We offer financial infrastructure services for the internet, enabling individuals to make online purchases and businesses to accept payments, facilitate payouts, and manage online operations.

These Terms of Service / Use govern your access to and use of fastflowpe.com, related websites, applications, APIs, payment solutions, devices, online services, Business Services, and End User Services. By using the Services, you agree to these Terms.

FastFlowPe is committed to transparency regarding the Personal Data entrusted to us. Submission of personal information through the Services is governed by our Privacy Policy.

2. Subscription Plans, Charges and Upgrades

The pricing, features, and options available within FastFlowPe Services depend on the Subscription Plan selected by the Customer. This may include usage fees, overage fees, and applicable plan limits.

FastFlowPe does not guarantee the continuous availability of any specific Subscription Plan and may modify prices, features, or options with prior notice. Changes will take effect from the commencement of the next subscription term unless otherwise stated.

By subscribing to a Subscription Plan, the Customer authorizes FastFlowPe to periodically charge the chosen payment method for subscription charges, usage or overage fees, applicable taxes, and other fees until the end of the Subscription Term, Renewal Term, or cancellation of all subscriptions.

If the Customer exceeds the usage limits of a Subscription Plan, the Customer may be upgraded to the next higher Subscription Plan and will be responsible for the associated costs. Upgrade charges are non-refundable unless required by law.

3. Taxes

FastFlowPe's fees do not include taxes. The Customer is responsible for applicable GST, sales tax, use tax, VAT, excise tax, withholding tax, or similar domestic or foreign taxes, except taxes based on FastFlowPe's income.

The Customer shall not deduct taxes from payments made to FastFlowPe unless required by law. If deductions are required, the Customer shall adjust the payable amount so FastFlowPe receives the amount it would have received had no deduction or withholding applied.

4. Auto-Renewals, Trials and Purchase Orders

If an account is set to auto-renewal or is in a trial period and a payment method has been provided, FastFlowPe may automatically charge the payment method at the end of the trial period or for renewal. Customers may notify FastFlowPe if they wish to cancel their subscription.

The Customer agrees to fulfill payment obligations without requiring purchase orders or purchase order references. If a purchase order is required, the Customer shall notify FastFlowPe at least thirty (30) days in advance so the parties can cooperate on the billing process.

Purchase orders are for administrative purposes only. Any non-administrative terms in purchase orders, including legal, security, privacy, or financial terms, do not apply to the Customer's purchase or use of FastFlowPe Services.

5. Cancellation, Refunds and Free Access Subscriptions

Subscription fees, usage fees, overage fees, upgrade fees, and other fees related to the Services are non-refundable and non-creditable unless otherwise required by law.

FastFlowPe subscriptions may be cancelled, with cancellation taking effect at the end of the then-current subscription term. After cancellation, the Customer may be downgraded to a free plan and may lose subscription features and functionality.

If the Customer does not make timely payments, FastFlowPe may suspend or remove subscription features.

FastFlowPe may offer Services on a free, trial, alpha, beta, or early-access basis. These Free Access Subscriptions and Beta Releases are provided on an as-is and as-available basis without warranties, support, maintenance, storage commitments, service level agreements, or indemnity obligations. Use of such Services is at the Customer's sole risk.

6. Online Terms and General Conditions

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority and have consented to allow your minor dependents to use the site.

You may not use our products for illegal or unauthorized purposes, violate applicable laws, transmit viruses or destructive code, or breach any provision of these Terms. A breach or violation may result in immediate termination of Services.

You understand that your content, excluding credit card information, may be transferred unencrypted over various networks and may be adapted to technical requirements of connecting networks or devices.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services, use of the Services, access to the Services, or any contact on the website through which the Services are provided without our express written permission.

Headings in these Terms are included for convenience only and do not limit or affect the Terms.

7. Accuracy, Services and Optional Tools

We are not responsible if information made available on this site is inaccurate, incomplete, or not current. Site material is provided for general information only and should not be relied upon as the sole basis for decisions without consulting primary, accurate, complete, and timely sources.

We reserve the right to modify or discontinue the Services, or any part or content of the Services, with prior notice. We shall not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

Descriptions of products, Services, images, colors, features, and pricing are subject to change at any time at our sole discretion. We may limit sales of products or Services by person, geography, jurisdiction, or quantity on a case-by-case basis.

Optional third-party tools may be provided as-is and as-available without warranties, representations, conditions, or endorsement. Use of such tools is entirely at your own risk and discretion, and you should review the terms of the relevant third-party providers.

Any future Services, features, tools, or resources offered through the website are also subject to these Terms.

8. Prohibited Uses

In addition to other restrictions stated in these Terms, you are prohibited from using the site, Services, or content for the following purposes:

• Engaging in unlawful activities or encouraging others to do so.
• Violating international, federal, provincial, state, or local laws, regulations, rules, or ordinances.
• Infringing our intellectual property rights or the intellectual property rights of others.
• Harassment, abuse, insult, harm, defamation, slander, disparagement, intimidation, or discrimination based on gender, sexual orientation, religion, ethnicity, race, age, national origin, disability, or similar protected characteristics.
• Providing false or misleading information.
• Uploading or transmitting viruses, malicious code, or code that may affect the functionality or operation of the Services, related websites, other websites, or the internet.
• Collecting or tracking personal information of others.
• Spamming, phishing, data mining, pretexting, spidering, crawling, or scraping.
• Using the Services for obscene or immoral purposes.
• Interfering with or circumventing security features of the Services, related websites, other websites, or the internet.

9. Customer's Approved Use Cases

The Customer agrees to adhere strictly to the use cases specified at registration and shall not alter or add use cases without prior approval from FastFlowPe.

The Customer is expressly prohibited from engaging in blacklisted categories, including:

• Speculative gaming.
• Gambling, casino, lottery, or other speculative activities.
• Chit funds.
• Multi-level marketing, network marketing, or Ponzi schemes.
• Spa, escort services, or friendship clubs.
• Equity crowdfunding.
• Any use case restricted by FastFlowPe, its banking partners, payment networks, or applicable law.

10. Unauthorized Access

The Service Provider shall hold harmless and indemnify the Customer against claims, damages, losses, or expenses arising from or connected with actions taken by a contractor, subcontractor, or employee of the Service Provider that result in, or are intended to result in, unauthorized access to Customer systems, data, or Confidential Information.

This indemnity does not reduce the Service Provider's responsibility to take necessary measures to prevent unauthorized use of Customer proprietary information by its contractors, subcontractors, or employees and to restrict access to Customer systems, data, and Confidential Information.

The extent of indemnification under this section shall not exceed the total invoiced value of the Service Provider for the specific calendar month.

11. Limitation of Liability and Indemnification

In no event shall the Service Provider, its affiliates, licensors, agents, employees, officers, directors, corporate partners, or participants be responsible for direct, indirect, incidental, consequential, special, or exemplary damages experienced by the Customer or end-users as a result of services rendered by the Customer to end-users, even if advised of the possibility of such damages.

The Customer agrees not to hold the Service Provider, its affiliates, licensors, agents, employees, officers, directors, corporate partners, or participants responsible for damages, legal actions, claims, disputes, or liabilities arising in connection with the Customer's actions, including interactions with end-users, disputes with end-users, guidance, advice, actions, services provided by the Customer or its affiliates or licensors, or loss or destruction of Customer data.

12. Severability and Termination

If any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall be enforceable to the fullest extent permitted by applicable law and the unenforceable portion shall be deemed severed. This determination shall not affect the validity and enforceability of remaining provisions.

Obligations and liabilities incurred before termination shall survive termination for all purposes.

These Terms are effective unless and until terminated by either you or us. Either party may terminate these Terms by providing thirty (30) days' prior written notice. You may notify us that you no longer wish to use the Services or cease using the site, subject to the notice period.

If, in our sole judgment, you fail or we suspect that you have failed to comply with any provision of these Terms, we may terminate this agreement immediately and without notice. You will remain liable for all amounts due up to and including the termination date, and we may deny access to the Services or any part of them.

13. Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

These Terms and any policies or operating rules posted by us on this site or in respect of the Services constitute the entire agreement and understanding between you and us and govern your use of the Services, superseding prior or contemporaneous agreements, communications, and proposals, whether oral or written.

Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

14. Governing Law and Changes to Terms

These Terms of Service and any separate agreements whereby we provide Services shall be governed by and construed in accordance with the laws of India.

Your continued use of or access to the website or Services following the posting of changes constitutes acceptance of those changes.

15. Payment APIs

FastFlowPe shall not assume responsibility for disagreements between parties in a transaction, including disputes regarding pricing, product quality, quantity, delivery, non-delivery, or delivery delays.

FastFlowPe disclaims liability arising from payment delays because payment processing depends on acquiring financial institutions, issuing and acquiring bank processors, payment networks, and other third parties.

With regard to refunds or chargebacks, FastFlowPe commits to transferring the transaction amount, after permissible deductions, to the Customer's settlement account within two (2) Nodal Bank working days following the completion date (T) of the transaction, in accordance with the Customer's defined terms.

16. Payment Refunds and Chargebacks

A chargeback is a transaction deemed uncollectible and returned to FastFlowPe for refund to the concerned payer. Chargebacks may arise when purchased products are not as described, defective, deficient, incomplete, unsatisfactory, already paid for, returned by the acquiring bank, unsuccessful, or affected by an alleged security or encryption breach involving FastFlowPe or the payee.

Upon receiving a chargeback request from a banking partner, FastFlowPe may reserve the specified amount in the merchant's master virtual account. FastFlowPe may notify the merchant to approve or reject the chargeback and provide valid proof of service delivery.

FastFlowPe may evaluate the merchant's counter-claim, accept or reject it, instruct the merchant to initiate a refund to the consumer, and inform the banking partner accordingly. Refund handling remains the responsibility of merchants.

FastFlowPe will make payments related to chargebacks only after receiving the necessary funds from the relevant acquiring bank, service provider, payee, merchant, or marketplace. FastFlowPe is not responsible for claims, disputes, or penalties arising from chargebacks and shall be indemnified against such claims.

Upon receiving chargeback amounts from the acquiring bank or service provider, FastFlowPe will transfer the received amount to the merchant, marketplace, or payer within seven (7) days.

If the involved parties agree that a merchant, marketplace, or payer is entitled to a chargeback, FastFlowPe may implement that entitlement by deducting the relevant amount from payments to the payee or billing the concerned party for the relevant amount.
